Agriforce Growing Systems (Nasdaq: AGRI) has announced a rebranding to Avax One, marking the launch of the first publicly traded company dedicated exclusively to the Avalanche ecosystem. The company revealed ambitious plans to raise $550 million through a combination of a private investment in public equity (PIPE) and equity-linked instruments, with the goal of accumulating over $700 million worth of AVAX tokens on its balance sheet.
Strategic Vision and Background
The move positions Avax One as a core institutional partner for Avalanche, a blockchain designed for institutional-grade settlement and tokenization. “The architecture of financial markets is changing, and programmable blockchains like Avalanche are the new foundation,” said Jolie Kahn, CEO of Avax One. “Our mission is to maximize our ownership of this foundational technology, AVAX, on a per-share basis, delivering direct value to our shareholders.” The company’s board has approved the rebranding and fundraising plan, which is subject to shareholder approval.
Fundraising Structure: PIPE Plus Equity-Linked Instruments
The capital raise is structured in two phases. First, a $300 million PIPE round will be conducted pending shareholder approval. Subsequently, an additional $250 million will be raised through equity-linked instruments. All proceeds will be used to acquire and hold AVAX tokens, targeting a total treasury value exceeding $700 million. This strategy mirrors the Bitcoin treasury approach pioneered by MicroStrategy but focuses on the Avalanche blockchain.
Institutional Backing
The fundraising is led by Hivemind Capital, with participation from over 50 institutional investors including notable names such as Galaxy Digital, Kraken, FalconX, Borderless Capital, and Hashkey Capital. This broad institutional support underscores growing confidence in Avalanche’s long-term potential and the viability of Avax One’s business model.
Avalanche Ecosystem at a Glance
Avalanche is a leading smart contract platform known for its high throughput, low fees, and compatibility with Ethereum Virtual Machine (EVM). The network is secured by $6.2 billion in staked assets as of the latest data. It supports a wide range of decentralized applications (dApps) and tokenized real-world assets, making it attractive for institutional adoption. Avax One’s entry is expected to provide additional liquidity and a publicly traded vehicle for investors seeking exposure to AVAX.
Market Implications
The rebranding and capital raise represent a significant milestone for the crypto industry, as it blurs the lines between traditional equity markets and digital asset treasuries. Avax One’s strategy could inspire other companies to follow suit, potentially increasing institutional demand for AVAX and other Layer-1 tokens. With a strong backing from leading crypto funds, Avax One is poised to become a key player in the Avalanche ecosystem.
