Agriforce Growing Systems (Nasdaq: AGRI), a former agricultural technology firm, has announced a complete rebranding to Avax One, becoming the first publicly traded company exclusively focused on the Avalanche blockchain ecosystem. The company unveiled plans to raise $550 million to build a long-term AVAX treasury, aiming to accumulate over $700 million worth of AVAX tokens.
Strategic Transformation and Rationale
The rebranding marks a radical shift from Agriforce’s original business of indoor farming systems to a pure-play AVAX investment vehicle. “The architecture of financial markets is changing, and programmable blockchains like Avalanche are the new foundation,” said Jolie Kahn, CEO of Avax One. “Our mission is to maximize our ownership of this foundational technology, AVAX, on a per-share basis, delivering direct value to our shareholders.” The strategy closely mirrors MicroStrategy’s Bitcoin treasury approach, offering investors a regulated, Nasdaq-listed exposure to AVAX without needing to directly custody the token.
Fundraising Structure and Institutional Backing
The $550 million capital raise is structured in two tranches: a $300 million private investment in public equity (PIPE), subject to shareholder approval, followed by an additional $250 million through equity-linked instruments. The lead investor is Hivemind Capital, with participation from over 50 institutional investors including Galaxy Digital, Kraken, Falconx, Borderless Capital, and Hashkey Capital. This broad institutional support underscores confidence in Avalanche’s growing role in tokenization and institutional-grade settlement. The Avalanche network is currently secured by $6.2 billion in staked assets, providing a robust foundation for Avax One’s treasury strategy.
Implications for the Avalanche Ecosystem
Avax One’s listing on Nasdaq could serve as a gateway for traditional capital to access the Avalanche ecosystem. By raising a dedicated treasury pool, Avax One intends to become a core institutional partner, potentially driving demand for AVAX and supporting network adoption. Analysts note that this model — a public company hoarding a specific cryptocurrency — has been validated by MicroStrategy’s success with Bitcoin. If successful, Avax One could inspire similar structures for other Layer 1 tokens.
The transaction remains subject to shareholder approval, but with strong institutional participation, the rebranding and fundraising are expected to close in the coming months. Avax One represents a new frontier where traditional equity markets intersect with native crypto asset accumulation.
