AI Financial, the Nasdaq-listed company formerly known as Alt5 Sigma, wants the market to stop calling it a WLFI treasury company. In an email to CoinDesk, a company spokesperson said AiFi continues to operate an active fintech and digital payments business while executing a broader long-term strategy across digital assets, settlement infrastructure, tokenization, and next-generation financial technologies. Calling the company solely a 'treasury company' doesn't reflect the breadth of its operating business, the spokesperson argued.
AI Financial currently runs ALT5 Pay, a crypto payments platform, and ALT5 Prime, an over-the-counter digital asset trading desk. Since the end of last quarter, it has also announced the acquisition of tokenization and ICO infrastructure firm Block Street, signed a commercial agreement with SuperQ Quantum, and outlined expansion into digital financial infrastructure.
But the company's latest SEC filing tells a starkly different story. As of March 31, AI Financial held 7.28 billion WLFI tokens, valued at $706.4 million — down significantly from an acquisition cost of roughly $1.46 billion. Its entire fintech business generated just $4.7 million in quarterly revenue. The filing also warned that recurring losses and a working capital deficit of $5.5 million raise 'substantial doubt' about the company's ability to continue as a going concern within one year.
Making matters worse, AI Financial's WLFI holdings remain contractually locked, preventing it from converting its largest asset into cash easily. The company ended the quarter with only $10.5 million in cash.
AI Financial's relationship with WLFI goes far beyond token ownership. World Liberty CEO Zach Witkoff serves as the company's chairman; WLFI co-founder Zachary Folkman sits on its board; WLFI has lent AI Financial $15 million secured by WLFI tokens; and WLFI holds rights equivalent to roughly 46% of the company's fully diluted equity.
The question remains: Can investors see past WLFI when evaluating AI Financial? The company may be building a broader fintech and digital infrastructure platform, but its SEC filing makes clear that WLFI remains the defining asset in its financial narrative. The gap between the $4.7 million fintech revenue and the $706 million token position is hard to ignore.
