Apex Group has partnered with fintech firm Omnes to tokenize a Bitcoin mining-linked structured product on Base, the layer-2 network developed by Coinbase. The instrument, called Omnes Mining Note (OMN), is structured as an institutional-grade secured debt note backed by Bitcoin hashrate, giving investors exposure to newly produced Bitcoin without the need to operate mining infrastructure themselves.
Mining output turned into an onchain financial instrument
OMN converts Bitcoin mining production into a product that can be distributed and transferred onchain among approved investors. Its return profile is tied directly to protocol-level Bitcoin issuance, not to secondary market trading and not to the redistribution of existing Bitcoin holdings. Omnes CEO Emmanuel Montero said Bitcoin mining is the only mechanism that creates new Bitcoin through protocol issuance, and described OMN as a way to turn that operationally intensive production process into a structured financial instrument backed by industrial-scale mining infrastructure.
The structure is meant to remove several barriers that usually come with mining exposure: hardware management, energy sourcing, and regulatory complexity. According to the source material, the product is aimed at professional investors outside the United States, in line with existing compliance frameworks.
Offchain ownership records with onchain settlement and distribution
As a structured debt note, OMN combines traditional financial engineering with blockchain-based transferability. Ownership is recorded offchain, while a mirrored representation is maintained onchain for settlement and distribution. That design keeps core recordkeeping in a conventional format, while using blockchain rails for post-trade processing and movement of the instrument.
Base, which hosts the issuance, is also gaining traction as infrastructure for institutional onchain finance. The arrival of a regulated debt instrument backed by mining activity points to growing acceptance of blockchain networks as a settlement layer for more complex financial products.
Apex extends its tokenization push into mining-linked securities
The launch fits Apex Group’s broader expansion in tokenized real-world assets. The company services more than $3.5 trillion in assets, and the article says it is positioning tokenization as a bridge between traditional capital markets and blockchain-based distribution. Executives from the two firms presented OMN as a distinct category of crypto-linked investment because it is tied to mining-driven issuance rather than yield models built on redistributing existing Bitcoin.
