(Nasdaq: DFDV), the first publicly listed U.S. company with a treasury strategy centered on Solana, has announced a $5 billion equity line of credit (ELOC) with RK Capital Management LLC. This facility provides the company with flexible capital access, allowing it to issue shares over time at prevailing market prices rather than locking in a single dilutive event.
Strategic Capital for Solana Accumulation
The proceeds from the ELOC will be used exclusively to expand DFDV's Solana holdings, directly targeting its proprietary SOL per share (SPS) metric — a unique measure of how much SOL backs each share of the company's common stock. Unlike passive holding, DFDV actively stakes its SOL reserves through its validator nodes, earning network rewards while contributing to Solana's infrastructure security.
“We now have the flexibility and structure we need to scale. This is a clean, strategic path to continue growing SOL per share and compounding validator yield,” said Joseph Onorati, CEO of DeFi Development Corp. The ELOC structure allows DFDV to time its capital raises with favorable SOL market conditions, minimizing dilution during price volatility.
Dual Business Model: Crypto Treasury + AI SaaS
Beyond its crypto initiatives, DFDV operates an AI-powered SaaS platform serving over 1 million annual users in the commercial real estate sector. This dual-pronged approach combines traditional fintech revenue — providing stable cash flow and compliance infrastructure — with high-conviction blockchain investments. The company positions itself as a hybrid: publicly traded transparency with crypto-native treasury management.

Following MicroStrategy's playbook with Bitcoin, DFDV aims to become the “MicroStrategy of Solana.” The $5 billion facility is roughly four times DFDV's current market capitalization (approximately $1.2 billion as of the announcement), signaling aggressive expectations for SOL's appreciation.
