TechFlow reported on June 11 that Figure Technology Solutions, a blockchain capital markets company, has signed a definitive agreement to acquire Kiavi for total transaction consideration of $717 million. Kiavi is described as an AI-driven real estate investment lending platform. Alongside the acquisition agreement, Figure will form a joint venture with Sixth Street to acquire loan assets held on Kiavi’s balance sheet.

A $717 Million Deal With a Joint Venture Component

According to the disclosed terms, the transaction centers on Figure’s acquisition of Kiavi for $717 million in total consideration. The deal also includes a separate but connected asset arrangement: Figure and Sixth Street will establish a joint venture entity that will acquire the loans currently on Kiavi’s balance sheet. This structure places both the platform acquisition and the loan asset purchase within the same transaction framework.

Figure Technology Solutions operates as a blockchain capital markets company, while Kiavi is positioned as an AI-driven platform focused on real estate investment lending. The announced transaction links the two businesses through lending assets, capital markets access and the way those assets will be incorporated into Figure’s existing product ecosystem after closing.

New Loan Volume for Figure Connect and Democratized Prime

After the transaction is completed, Kiavi is expected to add more than $7 billion in first-lien loan volume annually to Figure Connect. Kiavi is also expected to bring more than $100 million in monthly capital flow to Democratized Prime, Figure’s on-chain decentralized lending market. The two figures refer respectively to annual first-lien loan volume and monthly capital flow associated with Kiavi’s assets entering Figure’s system.

Figure also said Kiavi’s assets will become the first agent-to-agent access use case for its AI product, Adaptor. Under the transaction details disclosed by the company, Kiavi is not only the real estate investment lending platform being acquired; its assets are also set to be used across Figure Connect, Democratized Prime and Adaptor. The definitive agreement and the joint venture arrangement bring Figure, Kiavi and Sixth Street together in a single loan asset integration transaction.
