Nasdaq-listed Forward Industries (FORD) has filed a $4 billion at-the-market equity program with the U.S. Securities and Exchange Commission, underscoring its push to deepen a corporate treasury strategy centered on Solana.

Under the effective shelf registration statement, the company is authorized to sell common stock from time to time up to the $4 billion limit. Forward Industries said the proceeds are intended for general corporate purposes, including acquiring Solana, purchasing income-generating assets, and supporting broader business expansion.

Flexible Capital Raising Structure

The new ATM program gives the company a flexible way to access capital depending on market conditions rather than raising the full amount at once. According to the filing, this structure is designed to help Forward Industries deploy funds methodically across its treasury strategy and operating needs.

Chairman Kyle Samani said the offering provides an efficient mechanism to raise and deploy capital in support of the company’s Solana treasury plan. He added that the program should also strengthen the balance sheet and support growth initiatives aligned with the firm’s long-term vision.

Building a Larger Corporate Solana Treasury

The filing reinforces Forward Industries’ stated goal of building one of the largest corporate Solana treasuries while preserving flexibility to allocate capital across digital assets and business operations. The company linked that strategy to Solana’s expanding role in DeFi and blockchain infrastructure.

Beyond direct token accumulation, the planned use of proceeds also includes income-generating assets and general corporate purposes, suggesting the company is seeking to balance aggressive digital asset exposure with broader financial and operational flexibility.
