Payward, the parent company of Kraken, will acquire U.S. crypto derivatives platform Bitnomial for $550 million, in a deal that values the firm at $20 billion. The transaction is expected to close in the first half of 2026, after which Bitnomial’s infrastructure will be folded into Payward’s existing derivatives platforms in the U.S., Europe, and the U.K.
Bitnomial brings a rare full-stack U.S. derivatives setup
Founded in 2014, Bitnomial is described as the first platform in the United States to secure all three core licenses needed for full-scale crypto derivatives services: designated contract market, derivatives clearing organization, and futures commission merchant status. That matters for Payward because it can add regulated derivatives infrastructure without waiting through a long approval process.
Co-CEO Arjun Sethi said the real engine of the market is not the front-end interface but the clearing infrastructure behind it. He pointed to Bitnomial’s 24/7 trading capability and collateral solutions as central pieces of Payward’s expanded strategy. The emphasis was clear: the acquisition is about market plumbing as much as product distribution.
Kraken has been buying licenses and market access
Kraken has spent the past few years moving beyond spot crypto trading and building a broader multi-asset and derivatives business serving both institutional channels and direct clients. The report notes that its $1.5 billion acquisition of NinjaTrader in 2025 strengthened its standing in U.S. derivatives and was described as the largest merger to date between traditional finance and crypto.
Before that, Kraken acquired smaller venues including BCM and Small Exchange in 2023, adding infrastructure and licensing capacity. Taken together, the transactions show a consistent pattern: buying regulated rails instead of building every layer from scratch.
U.S. product rollout and IPO plans remain in focus
The article says crypto M&A activity has picked up again after an extended period of market stagnation, with major firms targeting infrastructure to close geographic and functional gaps. Bitnomial fits that profile as a strategically useful asset with direct relevance to the U.S. derivatives market.
Payward filed for an IPO with the U.S. Securities and Exchange Commission in 2023, but CoinDesk reported that the company has put those plans on hold because of market uncertainty and is waiting for better conditions. Once the Bitnomial deal is completed, spot margin trading, perpetual futures, and options in the U.S. will be offered under Commodity Futures Trading Commission oversight. Financial institutions and fintech firms will also be able to access the U.S. derivatives market through Payward Services using a single API connection.
