Metaplanet's mNAV ratio fell to 0.92x, triggering a policy that could lead to share repurchases. The firm holds 40,177 BTC, shares rose 2.95% on Tuesday, but the stock is down 30% in the past month. CEO warns no buyback is confirmed yet.

Japanese Bitcoin treasury firm Metaplanet has seen its mNAV ratio slide below the critical 1.0x threshold, hitting 0.92x, a level that — per the company's existing policy — could push management toward stock repurchases. CEO Simon Gerovich stated on June 9 that Bitcoin Yield remains the primary performance metric, and all capital allocation decisions are evaluated based on their impact on bitcoin per share.

The mNAV ratio compares enterprise value to the value of Bitcoin holdings. Metaplanet's latest data shows 40,177 BTC, with a Bitcoin NAV of roughly $2.54 billion versus an enterprise value of about $2.35 billion, yielding the 0.92x multiple. The ratio dipped as low as 0.90x over the past day amid Bitcoin price weakness. Under the company's framework, a lower mNAV increases the potential benefit of buybacks because fewer outstanding shares would amplify each shareholder’s underlying Bitcoin exposure.

Gerovich stressed that investors should not interpret the comments as confirmation of an active or scheduled repurchase. Any future buybacks must comply with Japanese insider trading rules, disclosure requirements, and monthly reporting obligations.

Capital Toolkit: Buybacks, Preferred Shares, and Dividends

Metaplanet's capital allocation strategy extends beyond share repurchases. The firm earlier launched a $500 million buyback program while securing additional debt to expand its Bitcoin treasury. Another key instrument is the MERCURY perpetual preferred stock — Gerovich described it as potentially Japan's first listed perpetual preferred share, though regulatory review has lagged due to the country's small preferred-share market. The company is also building operational systems to support monthly dividend payments, including shareholder verification, record-date management, and recurring distribution calculations. Management believes the preferred share structure could appeal to income-focused investors if the Bitcoin Income Generation Business generates sustainable cash flows.

First-quarter results showed a ¥114.5 billion ($725.6 million) net loss, almost entirely driven by a ¥116.4 billion non-cash writedown tied to Bitcoin's decline. Still, revenue surged 251% year over year to ¥3.08 billion, and operating profit rose 283% to ¥2.27 billion. The company added 5,075 BTC during the quarter, lifting total holdings to 40,177.

Stock Rebounds but Still Down 30% in a Month

Metaplanet shares closed at ¥244 on Tuesday, up 2.95%, trading between ¥238 and ¥247. Volume reached roughly 15 million shares, below the daily average of about 28 million. The daily gain only partially offset a 30% decline over the past month and a 47% drop year-to-date, reflecting broader volatility in Bitcoin treasury stocks. Tuesday's recovery was also supported by a $5.4 million advance allocation tied to dividend payments on the MERCURY perpetual preferred stock. The firm disclosed an unrealized loss of approximately $1.64 billion on its Bitcoin holdings, while the quarterly BTC Yield stood at -0.40%, meaning Bitcoin per share actually shrank during the period.

The mNAV metric has fallen below 1.0x before — in late 2025, similar levels prompted buyback discussions. Investors continue to watch the ratio closely: above 1.0x implies the market assigns a premium to the company's operations beyond its Bitcoin stash; below 1.0x suggests the market is discounting the Bitcoin holdings, making repurchases or further accumulation more attractive.
