Nasdaq-listed software firm MicroStrategy announced Tuesday that its subsidiary, MacroStrategy LLC, has secured a $205 million bitcoin-collateralized loan from Silvergate Bank to acquire more bitcoin. The interest-only term loan is provided under Silvergate's SEN Leverage program, secured by bitcoin held in MacroStrategy's collateral account with a mutually authorized custodian.

Loan Details

Under the agreement, MacroStrategy will use the loan proceeds to purchase additional bitcoins, pay fees, interest, and transaction costs, or for general corporate purposes. Silvergate's SEN Leverage program, launched in 2020, offers institutional clients U.S. dollar loans backed by bitcoin, enabling holders to access liquidity without selling their assets.

MicroStrategy CEO Michael Saylor tweeted: “MacroStrategy has closed a $205 million bitcoin-collateralized loan with Silvergate Bank to purchase bitcoin.” He added: “Using the capital from the loan, we've effectively turned our bitcoin into productive collateral, which allows us to further execute against our business strategy.”

Company's Bitcoin Holdings and Strategy

MicroStrategy is one of the largest publicly traded corporate holders of bitcoin, with a total of 125,051 BTC acquired prior to this loan. The company's CFO previously stated: “Our strategy with bitcoin has been to buy and hold, so to the extent we have excess cash flows or we find other ways to raise money, we continue to put it into bitcoin.” This latest move underscores MicroStrategy's long-term bullish stance and its ability to leverage bitcoin as a financial instrument.

However, bitcoin-collateralized loans carry risks: a sharp price decline could trigger margin calls or liquidation. MicroStrategy did not disclose the specific loan-to-value ratio. Analysts believe this could encourage other corporations to follow suit, integrating bitcoin into their balance sheets and using it for financing.

MicroStrategy's stock price remains closely tied to bitcoin's movements. Despite the volatile market in 2022, the company continues to expand its holdings through innovative financial strategies. Whether this loan will yield similar returns as previous purchases remains to be seen.
