The New York Stock Exchange (NYSE) has taken a historic step by announcing a strategic partnership with digital asset company Securitize to build a blockchain-based issuance and trading platform for tokenized securities. According to the Wall Street Journal, the initiative aims to enable round-the-clock (24/7) trading while granting investors full shareholder rights—including voting and dividend entitlements—a sharp contrast to most existing tokenized products that function more like derivatives.

Tokenized Securities: From Derivatives to True Ownership

Under the agreement, Securitize will serve as the NYSE's first digital transfer agent, responsible for converting traditional stocks and exchange-traded funds (ETFs) into digital tokens on the blockchain. Transfer agents typically manage shareholder registries, issue certificates, and process dividend payments. The two companies will also establish a standardized framework for other transfer agents, ensuring that tokenized securities are issued and managed in compliance with regulatory, operational, and technological requirements.

The proposed Digital Trading Platform will support continuous 24/7 trading and near-instant settlement. Investors will also be able to fund transactions using stablecoins. This represents a fundamental departure from traditional markets, which operate during fixed hours and rely on slower settlement cycles (T+1 or T+2). Crucially, tokenized stocks on the platform will retain full shareholder rights, including voting power and dividend claims—many offshore tokenized products currently lack these benefits and behave more like synthetic instruments.

Competitive Edge Over Nasdaq

The NYSE's move comes amid intensifying competition with Nasdaq. Nasdaq recently received regulatory approval to support trading of tokenized securities within its existing infrastructure, but plans to rely on traditional clearing systems. In contrast, the NYSE is building a separate, blockchain-native trading platform. Carlos Domingo, founder and CEO of Securitize, posted on X: "We are focusing on setting regulatory, operational, and technological requirements for an institution-grade tokenized securities infrastructure. The NYSE has selected Securitize as the lead design partner."

Industry leaders view this as a tipping point for tokenization. By storing ownership records directly on blockchain networks, markets can become faster, more transparent, and more accessible. However, challenges persist—previous tokenized products have struggled with price discrepancies and regulatory issues. The NYSE and Securitize aim to address these by working directly with issuers to create native digital securities rather than synthetic versions.
