Ondo Finance said its SEC-registered broker-dealer subsidiary, Oasis Pro Markets, has received US regulatory authorization to offer compliant tokenized corporate stocks and fund products to financial institutions and retail investors under SEC and FINRA oversight. The framework covers retail OTC trading, underwritten primary offerings, private placements and secondary-market activity. According to the announcement, the platform will allow US issuers to launch tokenized securities and let both institutional and retail investors trade them. Eligible assets include NMS stocks, fund interests such as ETFs, mutual funds and index funds, as well as securities issued through IPOs and traded in secondary markets. Settlement can take place in fiat or supported stablecoins, including direct settlement between blockchain-based wallets. Ondo said the authorization builds on its acquisition of Oasis Pro, which holds SEC registrations for a broker-dealer, an alternative trading system and a transfer agent. The company also said the approvals support omnibus account structures through integrations with existing broker-dealer and adviser channels.

Ondo Finance said its SEC-registered broker-dealer subsidiary, Oasis Pro Markets, has received US regulatory authorization to offer compliant tokenized corporate stocks and fund products to financial institutions and hundreds of millions of US retail investors under the supervision of the Securities and Exchange Commission and the Financial Industry Regulatory Authority.

The company said the authorization allows Oasis Pro Markets to provide those products through retail over-the-counter trading, underwritten primary offerings, private placements and related activities. It also enables the firm to operate a compliant platform through which US issuers can conduct primary issuances of tokenized securities, while institutional and retail investors in the US can participate in secondary trading of those securities.

Access to stocks, funds and IPO-issued securities

Within that framework, Oasis Pro Markets can provide US investors with market access to NMS stocks, fund interests including ETFs, mutual funds and index funds, as well as securities issued through IPOs and traded in the secondary market.

Settlement for those assets can take place in fiat or supported stablecoins, including direct settlement between blockchain-based wallets.

Built on Ondo’s acquisition of Oasis Pro

Ondo said the authorization builds on its acquisition of Oasis Pro, which holds an SEC-registered broker-dealer, an SEC-registered alternative trading system, or ATS, and an SEC-registered transfer agent.

Oasis Pro’s transfer agent, Oasis Pro TA, provides support for digital asset transfer agency services, including on-chain cap table management, shareholder rights and cross-asset collateral liquidity.

Broker and adviser integrations

The approvals also allow Ondo’s Oasis Pro Markets to support omnibus account structures through integrations with existing broker-dealer and adviser channels, according to the announcement.

Ondo said this would allow institutional investors, registered investment advisers and retirement accounts to access tokenized securities through their existing brokers, reducing onboarding friction and broadening participation among US investors.

Registration details and disclosures

Oasis Pro Markets LLC is an SEC-registered broker-dealer and alternative trading system and is a member of FINRA and SIPC, the company said. More background information on Oasis Pro Markets is available through FINRA BrokerCheck.

Oasis Pro TA LLC is an SEC-registered transfer agent.

Ondo also said that, other than Oasis Pro Markets and Oasis Pro TA, no affiliate of Ondo Finance or Oasis Pro separately provides broker-dealer or alternative trading system services, or transfer agent services.

According to the announcement, Oasis Pro Markets is regulated by FINRA and the SEC, but membership and registration do not guarantee compliance with all rules. The SEC, FINRA, or any federal or state regulator or self-regulatory organization has not recommended or approved any investment, and has not verified the accuracy or completeness of the information referenced in the communication.

The company added that the communication does not constitute an offer to sell any asset or a solicitation of an offer to buy any asset. It also does not constitute investment, legal, tax or financial advice. Accessing tokenized securities involves risk, and holders may incur losses, including the loss of the full purchase price. Past performance may not indicate future results, and investors are responsible for conducting their own research, investigation, verification and review, or seeking professional or investment advice.

The communication also includes a forward-looking statements notice covering future financial performance, business strategy, and growth or development expectations for Ondo Finance, Oasis Pro, Oasis Pro Markets, Oasis Pro TA and their respective affiliates. Ondo said those statements are based on management’s current expectations, estimates, forecasts and beliefs and are subject to risks, uncertainties and assumptions that could cause actual results to differ materially. Unless required by law, the relevant entities said they undertake no obligation to update or revise any forward-looking statements.
