Robinhood Markets Inc. (Nasdaq: HOOD) has announced the launch of Robinhood Ventures Fund I (RVI), a groundbreaking closed-end fund designed to open the private market—valued at over $10 trillion in the U.S.—to retail investors. The move, revealed on September 15, 2025, directly addresses the longstanding exclusion of everyday traders from private company investments, a privilege historically reserved for institutions and high-net-worth individuals.
According to Robinhood, the number of publicly traded companies in the U.S. has declined from roughly 7,000 in 2000 to about 4,000 in 2024, shrinking the pool of investable opportunities for retail investors. Meanwhile, private companies have grown both in number and valuation, with their combined estimated value now exceeding $10 trillion. The RVI fund aims to expand access to this critical and often inaccessible segment of the market.
Fund Structure and Management
RVI is a closed-end fund managed by Robinhood Ventures DE, LLC, a newly formed wholly owned subsidiary of Robinhood Markets. The fund will maintain a concentrated portfolio of private companies, focusing on long-term growth horizons extending through initial public offerings (IPOs) and beyond. Robinhood explained: “Robinhood Ventures Fund I (RVI) is a closed-end fund that aims to offer retail investors exposure to companies at the frontiers of their industries, while they are still private.”
The registration statement for RVI has been filed with the U.S. Securities and Exchange Commission (SEC) and is under review. Shares cannot be sold until the SEC declares the registration effective. Once approved, Robinhood expects the fund to trade on the New York Stock Exchange under the ticker symbol RVI, and it will be available to retail clients through brokerages such as Robinhood Financial LLC.
CEO's Vision for Democratized Investing
Robinhood CEO Vlad Tenev reinforced the company's mission: “For decades, wealthy people and institutions have invested in private companies while retail investors have been unfairly locked out. With Robinhood Ventures, everyday people will be able to invest in opportunities once reserved for the elite.”
The initiative builds on Robinhood's earlier introduction of tokenized private stocks in the European Union, signaling a global strategy to democratize investing. The RVI program will concentrate on a select number of high-growth private companies, aiming to provide retail investors with a diversified exposure similar to what institutional venture capital funds offer.
Industry observers view the fund as a potential game-changer, potentially channeling millions of retail dollars into the private market. If successful, Robinhood Ventures Fund I could set a precedent for how everyday investors participate in the most exciting growth stories before they go public.
