The U.S. Securities and Exchange Commission (SEC) approved a waiver for Ripple Labs on August 8, 2025, lifting the Regulation D disqualification that arose from a permanent injunction issued in the SEC vs. Ripple case. The decision removes a key barrier for institutional adoption of XRP.

Case History and Waiver Rationale

The legal battle began on December 22, 2020, when the SEC filed a complaint accusing Ripple of unregistered XRP sales violating Section 5 of the Securities Act of 1933. A final judgment on August 7, 2024 permanently enjoined Ripple from further violations. After both parties reached a settlement in May 2025 and withdrew appeals, the district court rejected the motion to dissolve the injunction. The SEC then issued a waiver under Rule 506(d)(2)(ii) of the Securities Act, citing “good cause” and noting its prior intent to dissolve the injunction through settlement.

SEC Order and Industry Reaction

In its order, the SEC stated: “Considering the facts and circumstances, including the Commission’s prior decision to resolve this matter in a manner that would have dissolved the injunction and removed the disqualification… the Commission finds good cause exists for not denying the exemption.” The waiver allows Ripple to again use the Regulation D safe harbor for private capital raises. Crypto attorney Bill Morgan commented on X: “Ripple had another win with the SEC immediately ordering an exemption from the Bad Actor disqualification. Indirectly, another win for XRP.”

Market Impact

Following the waiver, XRP’s price has seen a significant boost. The regulatory clarity is driving a fresh wave of institutional interest, with more companies exploring treasury strategies using XRP. Analysts also highlight increased prospects for an XRP exchange-traded fund (ETF), further buoying market sentiment.
