The U.S. Securities and Exchange Commission (SEC) filed a lawsuit on July 31, 2023, against Richard Schueler, known as Richard Heart, and his crypto projects Hex, Pulsechain, and Pulsex, accusing them of conducting unregistered securities offerings that raised more than $1 billion from investors and defrauding them through misappropriation of funds.
Core Allegations: Unregistered Securities
According to the SEC complaint, starting in December 2019, Heart offered and sold Hex tokens, marketing them as a "high-yield blockchain certificate of deposit" and promising investors incentives and bonuses. Between December 2019 and November 2020, Heart accepted over $678 million worth of Ether (ETH) from investors in exchange for Hex tokens. The SEC asserts that these tokens constituted securities under federal law and were not properly registered.
Between July 2021 and April 2022, Heart launched two additional projects—Pulsechain and Pulsex—through similar unregistered offerings. He urged investors to deposit crypto assets into public wallet addresses in exchange for tokens to be delivered later. The SEC states that more than $354 million was invested in Pulsechain and over $676 million in Pulsex through this mechanism. Combined, the three projects raised over $1 billion without complying with securities registration requirements.
Fraud Charges: Misappropriation of Investor Funds
The SEC further alleges that Heart and Pulsechain defrauded investors by misappropriating at least $12.1 million from the raised funds for personal luxury purchases rather than developing the Pulsechain network as promised. These purchases included a 555-carat diamond, luxury watches, and high-end cars. The SEC claims these actions violated the anti-fraud provisions of federal securities laws and seeks a permanent injunction, disgorgement of ill-gotten gains, and civil penalties.
The SEC complaint states: "Through their actions, defendants Heart and Pulsechain violated, and unless enjoined will continue to violate, the antifraud provisions of the federal securities laws." The agency is requesting a trial to determine liability and remedies.
Market Reaction and Implications
Following the announcement, the prices of Hex, Pulsechain (PLS), and PulseX (PLSX) tokens experienced sharp declines. Hex dropped over 20% within 24 hours, while PLS and PLSX fell 15% and 18% respectively. The crypto community remains divided: some view the SEC's action as necessary protection for investors, while others criticize it as regulatory overreach, arguing that tokens should not be classified as securities.
Richard Heart has not issued an official response, but his supporters have launched online petitions claiming the charges are "baseless." Legal analysts suggest that if the SEC prevails, Heart could face severe civil penalties and be barred from participating in any future securities offerings. This case may also set a precedent for DeFi projects and unregistered token sales, further clarifying regulatory boundaries in the crypto space.
It is worth noting that the SEC has previously pursued similar actions against Ripple, Telegram, and other crypto entities, with some cases still pending. The lawsuit against Richard Heart underscores the agency's aggressive stance on securities compliance within the industry.
