Power Assets as Key Differentiator

Starboard's thesis centers on Riot's massive energy capacity at its Texas campuses in Rockdale and Corsicana. The firm notes that as AI data center demand surges, large-scale power availability has become one of the most scarce and valuable assets. In January, Riot announced an agreement with Advanced Micro Devices (AMD) to initially lease 25 megawatts of IT load at the Rockdale facility, with options to scale up to 200 MW. Starboard views this as proof of concept but emphasizes that Riot still has approximately 1.4 gigawatts of additional capacity ready for AI or data center monetization.

Meanwhile, Riot's peers have been more aggressive. Bitfarms rebranded as Keel Infrastructure and shifted its domicile to the U.S.; Hive Digital, CleanSpark, and Cipher Mining are all expanding AI-linked data center operations. Starboard warned that without faster deal execution, Riot risks being valued as a bitcoin miner rather than a data center operator — the latter commanding significantly higher valuation multiples in public markets.

Governance Improvements and Urgency

Starboard acknowledged improvements in Riot's governance and efficiency over the past year, including adding board members with data center experience and implementing cost controls. However, the firm stated in its letter: "As Riot executes massively value-accretive AI/HPC deals, it must ensure that it completes the transition into a best-in-class data center lessor. We believe Riot is on its way to a transformation from a bitcoin miner to a best-in-class AI/HPC data center company."

Speed remains the critical variable. Starboard also hinted that if Riot fails to capitalize on its AI opportunity quickly, its valuable power assets could make it an acquisition target for consolidation in the U.S. data center market. According to analysts, Riot's combined power capacity across Rockdale and Corsicana exceeds 1.7 GW, with roughly 300 MW currently used for bitcoin mining — leaving substantial headroom for repurposing.

Market Reaction and Outlook

Following the news, Riot's shares rose approximately 5% in after-hours trading. Investors are now watching for new AI customer announcements in the company's upcoming quarterly earnings report. As the bitcoin mining industry pivots from pure mining toward diversified compute infrastructure, Riot's ability to secure large-scale AI/HPC contracts will determine whether it can sustain a re-rating beyond its mining legacy.
