Trump Media and Technology Group said it will issue digital tokens to shareholders who own at least one full share of DJT stock on Feb. 2. The publicly traded company behind Truth Social described the move as part of a broader plan to add blockchain infrastructure to its media and fintech operations.
Token distribution tied to share ownership, not equity rights
The company said the tokens will be minted by Crypto.com and kept in custody until distribution. They will not represent equity in Trump Media, cannot be traded or transferred, and are not redeemable for cash. Instead, eligible shareholders may receive periodic nonfinancial perks connected to company products, including Truth Social, the streaming service Truth+, and an upcoming gamified prediction market called Truth Predict.
The airdrop follows a strategy Trump Media outlined late last year, when it said token rewards could be linked to user engagement across its platforms. That plan framed blockchain tools as part of a wider buildout across the company’s media and financial technology ecosystem.
Company says it is following SEC public guidance
Asked whether the airdrop required approval from the U.S. Securities and Exchange Commission, Trump Media spokesperson and MZ Group investor relations lead Shannon Devine told CoinDesk that the company “appreciate[s] and [is] following the SEC’s public guidance on this issue.” She added that Trump Media’s position is that the token is not a security because it does not represent ownership in Trump Media or any other entity, and token holders should not expect profits derived from the managerial efforts of others.
CEO Devin Nunes said the initiative will use Crypto.com infrastructure in a way that is “consistent with Securities and Exchange Commission guidance,” with the stated goal of improving transparency and confirming legitimate ownership at the time of the snapshot.
OBO holders may face delays, NOBO and DRS steps encouraged
Trump Media said it will actively seek information for all eligible holders. It also warned that shareholders classified as objecting beneficial owners (OBOs) could see delays in receiving tokens. The company is urging investors to confirm non-objecting beneficial owner (NOBO) status with their broker, or move shares into a Direct Registration System (DRS) account through transfer agent Odyssey Transfer & Trust Company.
While the tokens are not designed to carry investment value, the effort stands out as a blockchain-based shareholder engagement experiment. It also fits Trump Media’s broader push into digital finance through Truth.Fi, which the company has said will include “America First” investment products under a venture called World Liberty Financial.
