Tri-Party Merger Creates Largest Public CRO Treasury
Trump Media & Technology Group (Nasdaq/NYSE Texas: DJT), Yorkville Acquisition Corp. (Nasdaq: YORK), and Crypto.com have entered into a definitive merger agreement to establish Trump Media Group CRO Strategy, Inc., a digital asset treasury designed to hold the native token of the Cronos blockchain. The new entity will become the largest publicly traded CRO treasury, with an initial capitalization of $1 billion.
Deal Structure and Key Figures
Structured as a SPAC business combination, the transaction includes $1 billion worth of CRO tokens (630 million tokens, representing 19% of total supply), along with $200 million in cash and $220 million from warrant exercises. An additional $5 billion equity line of credit from Yorkville affiliate YA II PN, Ltd. provides further liquidity. Once the merger closes, shares will trade on Nasdaq under the ticker “MCGA”.
Lock-Up Period and Strategic Vision
Founding partners—Yorkville, Trump Media, and Crypto.com—have agreed to a one-year lock-up on their shares, followed by a phased three-year release schedule. Kris Marszalek, Co-Founder and CEO of Crypto.com, noted: “The sheer size and structure of this project will encompass more than the entire current market capitalization of CRO. Combined with share lock-ups and the treasury’s validator strategy, it makes for a unique and compelling offering.”
Treasury Operations and Long-Term Yield Focus
The treasury plans to allocate substantially all reserves to CRO, operate a validator node on the Cronos blockchain, and compound staking rewards over time. This shift toward ecosystem-aligned treasuries aims to generate sustainable yield rather than serve traditional cash management.
