Unicoin Inc. has officially launched the Unicoin Foundation, an independent organization built to use blockchain technology for social impact and broader access to the digital economy. The company said the foundation will create entry points for communities that have traditionally been underrepresented in crypto, using education programs and ecosystem development rather than a trading-led approach.
An education-first model centered on responsible crypto use
According to the announcement, the foundation is built around an education-first model that emphasizes financial literacy and long-term wealth creation. The stated goal is to help people move from passive saving to active participation in both traditional and digital markets. Unicoin said the foundation will also support entrepreneurship through training, mentorship, and startup assistance in areas such as AI, blockchain, and Web3.
Its flagship framework, “Crypto for Good,” is presented as a way to show how digital assets can connect with broader social and economic initiatives. In the company’s description, crypto is being positioned as a tool for access, participation, and opportunity across global markets, rather than as a vehicle defined only by speculation.
Shareholder vote approved the shift to an independent foundation
The launch follows a governance restructuring inside the Unicoin ecosystem. The company said more than 4,000 shareholders took part in the vote and nearly 99% approved the move to an independent foundation structure. Management responsibilities are set to be formally transferred from Unicoin Inc. to the foundation. Unicoin framed the separation of educational and social-impact work into a standalone entity as a way to strengthen transparency, accountability, and long-term sustainability.
The foundation will operate with governance independent from Unicoin Inc. and will be guided by transparency, accountability, and measurable impact. Robert Newman, described as a seasoned entrepreneur and one of Unicoin’s largest investors, will serve as chair. Governance will also include a board of 27 directors, all of whom are Unicoin investors elected by shareholder vote.
Launch tied to changes in the US regulatory discussion
Unicoin linked the foundation’s debut to what it described as growing regulatory clarity under US Securities and Exchange Commission Chair Paul Atkins. The company said the current direction places weight on transparency, responsible innovation, and clear governance for digital assets. It also said the restructuring fits with Atkins’ proposed token taxonomy framework, under which some digital tools and functional tokens may sit outside securities registration requirements if profits do not depend on managerial efforts.
Outside its social mandate, Unicoin said the foundation is also expected to support the company’s global reputation, expand its community, and help drive adoption. The release said the foundation will focus on women and underserved communities, while also supporting entrepreneurs, developers, and innovators building new solutions and use cases within the Unicoin network.
Unicoin Inc., also referred to as TransparentBusiness in the release, described itself as a US-based crypto company focused on building a transparent and compliant ecosystem. The Unicoin Foundation is described as an independent, mission-driven organization aimed at promoting responsible blockchain adoption through education and support for impactful projects. The company also noted that the release includes forward-looking statements about future events and the expected impact of the foundation, and said the announcement does not constitute an offer to sell or solicit the purchase of securities or digital assets.
