XRP is making deeper inroads into institutional finance as Vivopower International PLC (Nasdaq: VVPR) unveils a large-scale Ripple-linked equity structure. On December 15, the sustainable energy and digital asset company announced that its digital asset unit, Vivo Federation, has been engaged by Lean Ventures to originate Ripple Labs shares that provide structured exposure to $900 million worth of XRP.
Deal Mechanics and Scale
The transaction references approximately 450 million underlying XRP tokens, valued at roughly $900 million based on the current XRP spot price. Vivopower will generate revenue through management fees and performance carry, targeting a net economic return of approximately $75 million over three years. The key innovation lies in offering institutional participants indirect XRP-linked economics via equity ownership, eliminating the need for direct token custody—a significant compliance and operational advantage.
South Korea as a Strategic Foothold
This announcement follows a definitive joint venture agreement signed on December 12 with Lean Ventures. Vivopower received written approval from Ripple Labs to purchase an initial tranche of preferred shares and is negotiating with institutional holders for additional shares valued at up to $300 million. The joint venture is specifically designed for qualified South Korean institutional and retail investors, a market chosen for its high concentration of XRP ownership and trading activity. By structuring exposure through Ripple shares, Vivopower enables Korean investors to participate in XRP upside without facing local regulatory hurdles associated with direct token holdings.
Implications for Institutional Finance
Vivopower’s strategy exemplifies a growing trend: traditional financial institutions seeking crypto exposure are increasingly turning to equity-based derivatives and structured products rather than direct token purchases. This approach not only mitigates custody and compliance risks but also aligns with the preferences of risk-averse institutional capital. Vivopower noted that the Ripple-linked structure is part of a broader, phased expansion of its XRP Ledger-based digital asset strategy. As XRP continues to recover from the SEC lawsuit era and gain legal clarity, such innovative financial instruments could accelerate its adoption among pension funds, endowments, and other large allocators. The success of this $900 million structure may set a precedent for similar Ripple-backed vehicles targeting other jurisdictions in Asia and beyond.
