Aave Labs has submitted an Aave Request for Comment, or ARFC, proposing the creation of a memberless Aave Foundation in the Cayman Islands. The proposed entity would hold, protect, and license Aave’s trademarks, primary domain names, protocol code, and related intellectual property. In its first phase, the plan is limited to registering the foundation and appointing independent directors, a supervisor, and a secretary. The DAO would cover reasonable registration, legal, and setup costs, with no ongoing budget attached. The proposal also states that Aave Labs and DAO service providers would be barred from appointing or serving as directors or supervisor. Governance powers over listings, parameter changes, budgets, and service provider selection would remain with the DAO. Any later transfer of trademarks, domains, or code-related IP would be brought to governance separately, while the foundation would disclose its held assets, operating expenses, and related legal actions on a quarterly basis.

Aave Labs has submitted an Aave Request for Comment, or ARFC, to establish a memberless Aave Foundation in the Cayman Islands.

Under the proposal, the foundation would hold, protect, and license Aave’s trademarks, primary domain names, protocol code, and related intellectual property.

The first phase covers registration and appointments only

The initial phase is limited to registering the foundation and appointing independent directors, a supervisor, and a secretary. The DAO would pay reasonable registration, legal, and formation costs, and the proposal does not include an ongoing budget.

Aave Labs and DAO service providers would not be allowed to appoint or serve as directors or supervisor.

Governance powers stay with the DAO

The proposal says governance authority over asset listings, parameter changes, budgets, and service provider selection would remain with the DAO.

Any later transfer of trademarks, domains, and code-related intellectual property would be submitted to governance separately. The foundation would publish quarterly disclosures covering assets held, operating expenses, and related legal actions.
