Deal Structure: Two Tranches with Investment-Grade Rating

According to a report by S&P Global Ratings, the underlying loans carry a weighted average interest rate of 11.8%. The deal features two tranches: the Class A tranche received an investment-grade rating (BBB-) and priced at a spread of 335 basis points over the benchmark rate. Jefferies Financial Group Inc. served as the sole structuring agent and bookrunner. The transaction is over-collateralized, with the total loan pool valued at $200 million against the $188 million issuance.

Automated Risk Management: The Liquidation Engine

Risk management is heavily automated. Ledn uses an algorithmic liquidation engine that automatically sells Bitcoin collateral when loan-to-value (LTV) thresholds are breached. S&P noted that a sharp Bitcoin price drop in early February 2026 forced Ledn to liquidate a significant portion of the loans earmarked for the ABS. All liquidations occurred below an 81.4% LTV cap, preserving the overall collateral package at $200 million while increasing cash in the funding account. The liquidation engine has a seven-year track record of closing 7,493 loans without principal losses.

S&P Stress Tests and Structural Safeguards

S&P’s analysis focused on default behavior, recovery rates during forced sales, and borrower concentration. Under the most severe 'A' stress scenario, S&P assumed a 100% default rate. For the BBB- rated Class A tranche, it applied a 79% default rate and 68% recovery expectation. Structural protections include over-collateralization, early amortization triggers, and a liquidity reserve funded at 5% of the note balance. Starting in 2027, renewed loans will require cash interest payments, designed to ease liquidity pressure.

Market Implications and Risks

This transaction opens a new funding channel for crypto lenders and demonstrates that Bitcoin-collateralized loans can be securitized and rated by major agencies. However, Bitcoin volatility remains the core risk. In fast-declining markets, liquidations may suffer execution slippage, potentially reducing recovery values. For investors, the deal is both a milestone and a reminder that crypto-backed credit lives and dies by price stability. Ledn's CEO stated that the issuance proves institutional acceptance of digital asset collateral is growing, but cautioned that extreme market conditions could still trigger cascading effects.
