Business intelligence firm MicroStrategy announced on Tuesday that it has completed a $603.75 million offering of convertible senior notes due 2031. Shortly after the announcement, company founder Michael Saylor revealed on social media platform X that the firm had purchased an additional 9,245 bitcoin for approximately $623 million, using proceeds from the convertible note sale and excess cash. The average purchase price was about $67,382 per bitcoin.
Convertible Note Details
MicroStrategy disclosed that the aggregate principal amount of the notes sold in the offering was $603.75 million, which includes $78.75 million aggregate principal amount of notes issued pursuant to an option to purchase within a 13-day period beginning on the date the notes are first issued. The notes carry an interest rate of 0.625% per annum, payable semiannually. The initial conversion price is approximately $42.41 per share, representing a premium of about 30% over the last reported sale price of the company’s common stock on the date of pricing.
Continued Bitcoin Accumulation Strategy
This latest purchase continues MicroStrategy's aggressive bitcoin acquisition strategy that began in 2020. According to Michael Saylor, as of March 18, 2024, MicroStrategy now holds 214,246 bitcoin acquired for approximately $7.53 billion at an average price of $35,160 per bitcoin. While MicroStrategy remains one of the largest public holders of bitcoin, BlackRock's spot bitcoin ETF (IBIT) has recently surpassed the company's holdings, now holding 237,339.13 BTC as of the time of writing.

MicroStrategy's consistent purchasing activity is often viewed as a bellwether for institutional interest in bitcoin.
