Kuaishou said in a Hong Kong stock exchange filing that Beijing Keling on Aug. 31 signed joinder agreements with the National Artificial Intelligence Fund and Charoen Pokphand Robot Limited, also known as CP Robot. Under the arrangements, both parties agreed to join the capital increase agreement as additional investors. The National Artificial Intelligence Fund will inject RMB 1.4 billion in cash, while CP Robot will contribute about $19.29 million, equivalent to about RMB 131.45 million. The filing also set out the corresponding registered capital tied to the subscriptions and the post-expansion ownership percentages, based on a full-utilization assumption for the subscription cap and the authorization limit under a subsidiary share participation plan. On the same day, Beijing Keling also entered into joinder agreements to a shareholders’ agreement with both investors, under which each of them was granted a repurchase right.

Under the agreements, the National Artificial Intelligence Fund and CP Robot each agreed to join the capital increase agreement as additional investors. They will inject cash capital into Beijing Keling in the amounts of RMB 1.4 billion and about $19.29 million, respectively, with the latter equal to about RMB 131.45 million.
The filing said the subscriptions correspond to registered capital of RMB 1,097,518 for the National Artificial Intelligence Fund and RMB 103,047 for CP Robot. Those stakes represent about 1.14% and 0.11% of Beijing Keling’s registered capital after enlargement following the subscription and the implementation of the subsidiary share participation plan, assuming the subscription cap and the plan authorization limit are both fully utilized.
On the same day, Beijing Keling also signed joinder agreements to a shareholders’ agreement separately with the National Artificial Intelligence Fund and CP Robot. Under those arrangements, both investors were granted repurchase rights.
