Nebius Group N.V. has increased its convertible senior notes offering to $4 billion, up from the $3.75 billion size it initially proposed, as strong institutional demand underscored investor appetite for AI infrastructure exposure.

The Nasdaq-listed company said the private placement, offered to qualified institutional buyers under Rule 144A, is split into two tranches. The first consists of $2.25 billion of 1.250% notes due 2031, while the second includes $1.75 billion of 2.625% notes due 2033. The transaction is expected to settle on March 20, with estimated net proceeds of about $3.96 billion. If the additional allotment option is exercised in full, total proceeds could rise to as much as $4.55 billion. Purchasers were also granted the right to acquire up to $600 million in additional notes across both maturities within 13 days of issuance.

Capital aimed at data centers, GPUs, and AI cloud growth

Nebius said it plans to deploy the new capital toward data center construction, GPU procurement, and broader AI cloud development, along with general corporate purposes. The company, once part of Yandex, has repositioned itself as a European AI infrastructure provider focused on full-stack cloud services, data centers, and compute hardware sourcing. As demand for large-scale model training and deployment continues to rise, access to computing infrastructure has become one of the most important strategic battlegrounds in the AI economy.

Interest on the notes will be paid semiannually starting on September 15, 2026. Both tranches carry conversion features linked to Nebius Class A shares. The initial conversion prices were set at roughly $183.22 per share for the 2031 notes and $180.31 per share for the 2033 notes. Those levels represent premiums of more than 50% above the company’s March 17 closing price of $116.33. That premium structure suggests Nebius sought to balance investor upside with an effort to limit immediate dilution concerns.

AI infrastructure race keeps pushing financing needs higher

The enlarged offering comes as Nebius expands aggressively in a market where capital intensity is rising fast. The company has recently announced two significant strategic developments: a $2 billion partnership with Nvidia focused on AI infrastructure, and a commercial agreement with Meta Platforms that could be worth up to $27 billion. Together, those deals highlight the scale of demand emerging around AI compute, cloud capacity, and supporting infrastructure.

In this environment, companies building AI infrastructure are increasingly judged by their ability to secure financing, chips, and power at scale. Nebius’ latest fundraising move reflects that reality. Rather than relying on a single equity raise, the company is using convertible debt to add flexibility while preserving access to large pools of institutional capital. The note structure allows settlement in cash, shares, or a combination of both, and also includes call protection and conversion adjustments tied to market performance.

Stock reaction shows dilution remains a concern

Even with strong demand behind the upsized deal, investor reaction in the equity market was more cautious. Following the initial announcement, Nebius shares fell by roughly 9% to 12%, a decline that appears to reflect concern over the potential dilution associated with convertible securities. That response is common in large convertible offerings, especially when companies are raising capital at scale to fund long-term expansion rather than near-term earnings accretion.

Still, Nebius’ ability to increase the size of the deal indicates that institutional investors remain willing to back companies positioned at the center of the AI compute buildout. The financing also builds on an earlier capital raise from September 2025, when Nebius combined an equity issuance with convertible notes totaling more than $4 billion. With the latest transaction, the company is signaling that it intends to keep raising and deploying capital aggressively as competition intensifies.

More broadly, the offering illustrates a key theme in the AI infrastructure market: building capacity is no longer just about technology leadership. It is also about financial scale. Data centers, GPU clusters, and cloud platforms require enormous upfront investment, and companies that can access capital markets efficiently may gain an important edge.
