The headline number matters, but the strategic prize is regulatory access: the transaction gives Payward a faster route into the US derivatives market through Bitnomial’s existing licenses.

Three licenses at the center of the deal

Bitnomial is described in the source material as the first crypto-native platform in the US to hold all three core licenses needed to operate a full-stack derivatives business: a Designated Contract Market (DCM), a Derivatives Clearing Organization (DCO), and a Futures Commission Merchant (FCM) license. In the US, those approvals are hard to replicate quickly, which makes the acquisition about infrastructure as much as product expansion.

Kraken targets a broader regulated product set in the US

After integrating the platforms, Kraken is expected to offer US clients a wider range of products under Commodity Futures Trading Commission oversight, including spot margin, perpetual contracts, and options. That would push Kraken deeper into regulated derivatives, expanding beyond its core crypto exchange business.

The acquisition also extends Payward Services, the company’s B2B infrastructure arm. According to the source, banks and fintech firms would be able to connect to the regulated US derivatives market through a single API. That adds another layer to the strategy: retail trading remains important, but institutional connectivity and market plumbing are becoming a bigger part of the business.

IPO plans are on hold, but M&A continues
