According to the SEC filing, Procap Acquisition Corp., incorporated in the Cayman Islands, plans to offer 20 million units at $10 per unit. Each unit consists of one Class A ordinary share and one-third of a redeemable warrant. The units are expected to list on the Nasdaq under the ticker symbol “PCAPU”. The company has not yet identified a specific target nor held substantive discussions with any potential acquisition candidates.

The filing reveals that the sponsor, Procap Acquisition Sponsor LLC—where Pompliano serves as the sole managing member—has committed to purchasing 430,000 private placement units at $10 each, totaling $4.3 million. Public shareholders will have the right to redeem their shares in connection with a business combination, based on the per-share value of the trust account holdings.

Pompliano will serve as CEO of the company. Brent Saunders, Chairman and CEO of Bausch + Lomb, will act as a special advisor. Saunders previously chaired Vesper Healthcare, which merged with The Beauty Health Company in 2021. Bloomberg initially reported that the SPAC may concentrate on “digital assets, fintech, [and] asset management”.

CFO Catalina Abbey brings prior experience from APFO Inc. and Grant Cardone Enterprises. Procap Acquisition Corp. has 24 months from the IPO closing to complete a business combination, subject to extension via shareholder approval. Pompliano's deep roots in Bitcoin and crypto, along with his large audience from The Pomp Podcast, signal a continued convergence between crypto and traditional finance.
