Core Acquisition: 5,800 BTC Addition Pushes Holdings to 43,500+
Twenty One Capital, Inc. announced today that it will receive 5,800 additional Bitcoin from Tether upon the closing of its business combination with Cantor Equity Partners (Nasdaq: CEP). This acquisition brings the company's total Bitcoin holdings to over 43,500 BTC, making it the third-largest corporate Bitcoin treasury in the world, behind only MicroStrategy and Marathon Digital Holdings. The move cements Twenty One's position as a dedicated Bitcoin treasury company and signals continued institutional appetite for Bitcoin exposure through publicly traded vehicles.
Financial Details: Blended Cost of $87,280 and Introduction of Bitcoin Per Share Metric
The company disclosed that its Bitcoin was acquired at a blended average cost of $87,280.37 per BTC. Once listed on Nasdaq, each share of Twenty One will represent approximately 12,559 sats (the smallest unit of Bitcoin; 1 BTC = 100 million sats) and trade under the ticker symbol 'XXI.' In a groundbreaking move for public companies, Twenty One will replace the traditional earnings per share (EPS) metric with a new metric called 'Bitcoin Per Share' (BPS). This allows investors to track the amount of Bitcoin backing each share directly, eliminating the need to convert financial reporting into fiat currency terms. The BPS metric provides a transparent, Bitcoin-native way to evaluate the company's performance and aligns with its core ethos of operating on a Bitcoin standard.
Leadership Vision: Building a Public Company Worthy of Bitcoin's Ethos
Jack Mallers, co-founder and CEO of Twenty One Capital, stated: 'We believe Bitcoin deserves a public company worthy of its ethos. With the partners, capital, team, and structure we've assembled, we feel like we can do anything, and we're just getting started. Twenty One is a new kind of public company: built on Bitcoin, backed with proof, and driven by a vision to reshape the global financial system. We're not here to beat the existing system, we're here to build a new one.'
In line with this vision, all of the company's Bitcoin will be held transparently on-chain. A real-time Proof of Reserves page is available on the company's website, allowing any stakeholder to independently verify the holdings. This level of transparency is rare among publicly traded companies and aims to restore trust in corporate treasury management.
Paolo Ardoino, CEO of Tether, commented: 'Bitcoin represents more than just a financial asset; it's a foundational protocol for freedom, transparency, and resilience. Twenty One captures that ethos in corporate form. By anchoring its model entirely to Bitcoin, it breaks from legacy financial conventions and points toward a future where value is truly sovereign. This is the kind of vision we're proud to support.'
Shareholder Structure and Outlook: Majority Control by Tether/Bitfinex, SoftBank as Key Investor
Upon completion of the merger, Tether and Bitfinex will hold a majority stake in Twenty One, with SoftBank (the Japanese technology conglomerate) serving as a significant minority investor. The remaining ownership will be shared among PIPE (Private Investment in Public Equity) investors, public shareholders of Cantor Equity Partners, and Cantor Fitzgerald. This diverse shareholder base provides Twenty One with substantial capital backing and strategic resources. As Bitcoin adoption among corporations continues to accelerate, Twenty One's transparent, Bitcoin-native approach and its innovative BPS metric could set a new standard for how public companies report and communicate their digital asset holdings.
