Fortitude Resources, a miner of the privacy-focused cryptocurrency Zcash, has secured a Nasdaq listing through an all-stock merger with healthcare technology company HeartSciences. Under the terms of the deal, HeartSciences will retain its healthcare business while existing shareholders maintain a minority stake in the combined entity.

The transaction is effectively a reverse merger, enabling Fortitude to bypass the traditional initial public offering (IPO) process and gain direct access to public markets. Fortitude specializes in mining Zcash, a cryptocurrency that uses zero-knowledge proofs to enhance transaction privacy. HeartSciences, previously listed on Nasdaq, focuses on cardiac diagnostic technology.
Upon completion, Fortitude becomes one of the few cryptocurrency mining firms listed on the Nasdaq. The Zcash network continues to generate new coins through proof-of-work mining, and Fortitude's public listing may draw increased attention to the Zcash ecosystem. Financial terms of the merger were not publicly disclosed.
