Genius Group unveils capital plan to fund AI and Bitcoin treasuries
Singapore-based Genius Group has announced a capital plan to finance a board-approved dual-treasury strategy, according to a report cited from Globenewswire. The company said it is targeting total assets of $2 billion by fiscal year 2031, with an $800 million AI Treasury and an $827 million Bitcoin Treasury. The financing structure is designed around perpetual preferred stock in an effort to increase net asset value per common share, or NAVPS, while limiting dilution to common shareholders. Genius Group said it intends to use its $1.2 billion shelf registration, which the U.S. Securities and Exchange Commission declared effective on July 18, 2025, to issue publicly registered perpetual preferred securities, or PPS, for the dual treasury. As an initial step, the company plans to raise $12.5 million through a PPS offering. The preferred shares are expected to be non-convertible, carry a floating rate, and pay dividends monthly. Proceeds are slated for the company’s AI Treasury, Bitcoin Treasury, and a U.S. dollar reserve equal to about 18 months of preferred share dividends. Genius Group also said it has started talks with investment banks experienced in preferred securities and digital asset financing, while final terms and timing have not yet been set.
