Strategy sold 18,261,118 shares of common stock for net proceeds of $2.01 billion in the week ended Aug. 23, according to an 8-K filed Monday. The company did not buy any bitcoin with the money. Instead, it used about $136.4 million to repurchase 1,431,212 STRC preferred shares, sent $300 million into its USD Reserve to bring that pool to $5.10 billion, and set aside the remaining $1.59 billion as a new USD Cash pool. Bitcoin holdings were unchanged at 840,447 BTC, acquired for $63.36 billion at an average price of $75,385 each. Strategy said USD Cash can be used for general Bitcoin Treasury Company purposes, including buying bitcoin, repurchasing common or preferred stock, retiring convertible notes, or adding to the reserve. The company also said the flexibility should let it respond faster to dislocations in the bitcoin market or in its own securities. The move came after a rough stretch for Strategy’s financing structure. The company overhauled its financing in late June and said in July that it had sold $216 million of bitcoin, its largest disposal ever, to fund dividends and rebuild the reserve. Pressure had built around STRC, the variable-rate preferred security that funds much of Strategy’s buying and fell well below par in June, forcing the company to pause the share sales at the center of Michael Saylor’s flywheel.

Strategy still can’t restore STRC to par as preferred shares remain about 5% below $100

Strategy, the bitcoin-holding company associated with Michael Saylor, is still struggling to bring its STRC dividend instrument back to par, according to Protos. The outlet said STRC, which pays dividends twice a month on a $100 par value, fell below parity on May 15 and has not recovered since, leaving the preferred shares off-par for nearly 100 days. Protos also said Strategy’s stock has dropped 73% since July last year. The report said Strategy has sold nearly 7,000 BTC since June, worth close to $500 million, to bolster its dollar reserves and help maintain dividend payments for preferred shareholders. The company has also repurchased STRC, and those efforts helped lift the instrument from a brief drop to $75 a share in June. Even so, STRC has not returned to $100. Protos added that CEO Phong Le and executive chairman Michael Saylor told investors on the second-quarter earnings call that the company had both the means and the intention to do whatever was necessary to restore STRC to par. Three weeks later, the outlet said, STRC was still 5% below parity. The report also noted Saylor’s recent stream of AI-generated social media videos, saying they did not address investor concerns around Strategy’s dividend instruments.

Brazil's OranjeBTC to Launch Bitcoin-Treasury Preferred-Share ETF, Targeting September Debut

According to BlockBeats, OranjeBTC (B3: OBTC3), a Brazilian treasury company focused on bitcoin, announced on Aug. 13 the upcoming launch of the Digital Yield ETF (DIGY11).
