AI firm Anthropic has confidentially filed a draft Form S-1 with the SEC, moving toward an initial public offering. The document is required for companies seeking to list in the U.S., and the confidential filing lets the company keep details under wraps during SEC review.
Anthropic said the step allows it to choose to go public after the SEC finishes its review. The timing, number of shares, and price range are not yet set and will hinge on market conditions and other factors.
The announcement was made under Rule 135 of the Securities Act of 1933, which permits limited notices about proposed offerings. Anthropic clarified that it does not constitute an offer to sell or a solicitation to buy securities.
