CrowdStrike Holdings, Inc. (NASDAQ: CRWD) said shareholders should reject an unsolicited mini-tender offer from Tutanota LLC, adding that it has no affiliation with the bidder. Tutanota is seeking to purchase up to 500,000 shares of CrowdStrike common stock for $260 per share in cash.
Offer terms could leave shareholders selling below market
According to CrowdStrike’s statement, one of the conditions attached to the offer is that the closing price of CrowdStrike common stock on the last trading day before the offer expires must be above $260 per share. Unless Tutanota waives that condition, shareholders who tender their shares could end up selling at a discount to the prevailing market price.
The offer covers less than 0.05% of CrowdStrike’s outstanding common stock. Tutanota also has the right to delay payment and extend the offer period. The offer is currently set to expire at 5:00 p.m. Eastern Time on Oct. 19, 2026. Shareholders who have already tendered their shares may withdraw them before the deadline.
SEC guidance highlights weaker protections in mini-tender offers
The U.S. Securities and Exchange Commission has said a mini-tender offer generally refers to an offer for no more than 5% of a target company’s outstanding shares. Because these transactions fall below the 5% threshold, they can avoid the stricter disclosure and review requirements that apply to larger tender offers under federal securities laws.
CrowdStrike said that gap leaves investors without the same level of legal protection. Regulators have also warned that some bidders use below-market mini-tender offers to profit when investors fail to check current market prices in time. The company said Tutanota has used similar tactics with other listed companies in the past.
Company asks shareholders and intermediaries to review guidance
CrowdStrike said shareholders should obtain the latest market quote for the stock and consult a broker or financial adviser before making any decision. The company also said brokers, dealers and other market participants should review regulatory guidance issued by the SEC and the National Association of Securities Dealers, or NASD, on the distribution and disclosure rules tied to mini-tender offers.
It also asked that any distribution of the offer materials in the market include a copy of the company’s official press release.
