According to CoinDesk, Belgian digital asset services firm Keyrock has reached an agreement to acquire bankrupt crypto trading and lending company BlockFills for $3.25 million. The acquisition, still subject to bankruptcy court approval, would see Keyrock take over “substantially all” of BlockFills’ assets, certain liabilities, a portion of its equity, its client list, and proprietary technology and intellectual property.
Acquisition Terms and Bankruptcy Background
BlockFills filed for Chapter 11 bankruptcy protection in March, reporting liabilities between $100 million and $500 million against assets of only $50 million to $100 million. The proposed $3.25 million purchase price reflects a steep discount typical of liquidation scenarios, where buyer interest centers on intangible assets rather than the depleted balance sheet.
The true prize for Keyrock is BlockFills’ institutional client base. Through this deal, Keyrock will directly onboard a roster of professional counterparties including hedge funds, asset managers, market makers, and mining firms – a high-value, high-frequency segment that is essential for expanding a market-making and prime brokerage business.
Keyrock’s Strategic Expansion
The acquisition fits into a broader growth trajectory at Keyrock. Last year the company completed a Series C funding round led by SC Ventures, the venture arm of Standard Chartered, which valued it at $1.1 billion. Later in the autumn, Keyrock acquired Luxembourg-based fund management firm Turing Capital, signaling an ambition to build a full-stack digital asset financial services offering. Securing BlockFills’ client network would immediately strengthen its U.S. institutional distribution and complement its existing market-making and lending operations under a regulated framework.
This deal underscores a consolidation trend in the crypto sector as the bear market matures. Distressed firms are picked up by stronger competitors at bargain prices, allowing the survivors to absorb talent, technology, and client relationships ahead of the next cycle. Should the acquisition close as expected, Keyrock will see a significant expansion of its institutional client base and a stronger foothold in the North American market.
