According to a report by Cryptobriefing, Nasdaq-listed Solmate (formerly Brera Holdings) has seen its share price plummet by more than 98% after completing a $300 million fundraiser and pivoting to become a Solana treasury company. The firm, which counts ARK Invest, Pulsar Group, RockawayX and the Solana Foundation among its investors, holds approximately 2 million SOL. However, SOL has dropped roughly 50% over the past year, severely eroding the company's asset base on paper.
Business Transformation and Fundraising Background
Solmate, originally known as Brera Holdings, was a traditional finance company before raising $300 million in 2024 and rebranding as a treasury management firm focused on the Solana ecosystem. The company said it would deploy capital to acquire and hold SOL while engaging in on-chain staking and DeFi strategies. Yet after the fundraise, investor sentiment shifted sharply: the market began pricing the company not as a financial services firm but as a leveraged SOL holding vehicle.
Why the Stock Collapsed 98%
Three main factors drove the crash. First, SOL's own price fell roughly 50% over the past year, from above $200 to below $100, shrinking the value of the 2 million SOL holdings from roughly $400 million to under $200 million. Second, the fundraising terms were extremely expensive—using convertible bonds and equity—combining interest burden and dilution. Third, governance concerns erupted after the largest shareholder filed a lawsuit, triggering a panic selloff. Solmate's market capitalization has fallen to less than $30 million from over $1.5 billion post-fundraise.
Shareholder Lawsuit and Governance Crisis
The largest shareholder of Solmate has filed suit against the board, alleging disclosure violations and self-dealing. The complaint claims the company omitted material risks related to its SOL exposure and that some funds were used to purchase assets from related parties, constituting potential conflicts of interest. The lawsuit has further crushed market confidence, and there is no clear path to recovery unless SOL prices rebound or the company manages to restructure its balance sheet.
Implications for the Solana Ecosystem
Solmate's case serves as a cautionary tale for treasury companies in the Solana ecosystem. A model that concentrates assets in a single token is highly vulnerable: a decline in the underlying asset triggers both balance sheet erosion and financing stress. The market should refocus valuation on how well these firms generate sustainable returns through active management rather than just the number of tokens they hold. Investors will watch closely to see whether Solmate is forced to liquidate its SOL position or seek a rescue round.
