Strategy said it has conditionally declared daily dividends for its Variable Rate Series A Perpetual Preferred Stock, STRC, covering the period from Nov. 1 to Nov. 30, 2026. The regular annualized dividend rate will remain at 12.00%. The plan depends on shareholders approving a daily dividend amendment at a special meeting scheduled for Oct. 28, along with the completion and effectiveness of related amendments to the preferred stock terms. If those conditions are met, each calendar day beginning Nov. 1 will serve as a dividend record date, including weekends and U.S. holidays, and the related dividend will be paid on the next business day after the applicable record date. Strategy said the change would alter STRC’s cash-flow timing rather than its economics: holders would receive payments more frequently, but each payment would be smaller. The company added that neither the annualized dividend rate nor the total annual dividend amount would change. If the amendment is not approved, STRC will continue using its current twice-monthly distribution schedule. Under the proposed terms, the 12% rate would apply for all of November, after which the applicable dividend rate would be set monthly and announced by the 15th day of the preceding month.
Strategy said it has conditionally declared daily dividends for its Variable Rate Series A Perpetual Preferred Stock, STRC, for the period from Nov. 1 through Nov. 30, 2026, with the regular annualized dividend rate unchanged at 12.00%.
Approval at the Oct. 28 special meeting is required
The arrangement is subject to Strategy shareholders approving a daily dividend amendment at a special shareholders meeting on Oct. 28, as well as the completion and effectiveness of related amendments to the preferred stock terms.
If those conditions are satisfied, STRC will use each calendar day as a dividend record date starting Nov. 1. Weekends and U.S. holidays will be included. The corresponding dividend will be paid on the next business day after the applicable record date.
Payment timing would change, but not the annual payout
Strategy said the adjustment would change the cash-flow rhythm of STRC. The product currently pays dividends twice a month. Under the proposed change, holders would receive payments more often, with smaller amounts per payment.
The company said the adjustment would not change the annualized dividend rate or the total annual dividend amount. If the amendment is not approved, STRC will continue with its current semi-monthly payment schedule.
12% would apply for November, then reset monthly
Under the proposed terms, the 12% rate would cover the full month of November. After that, STRC’s applicable dividend rate would be determined on a monthly basis, and the company would be required to announce the next month’s rate by the 15th day of the preceding month.
