KindlyMD, Inc. (NASDAQ: KDLY), a healthcare services provider based in Utah, has entered into a merger agreement with Nakamoto Holdings Inc., a Bitcoin-native holding company, in a deal announced on May 12, 2025. The transaction includes $710 million in total financing, combining $510 million raised through a PIPE at $1.12 per share and $200 million in senior secured convertible notes due in 2028. Once completed, the merger is expected to create a publicly traded company centered on a Bitcoin treasury strategy while preserving KindlyMD’s existing healthcare operations. David Bailey, founder of BTC Inc. and Nakamoto Holdings, will become CEO of the combined company, while Tim Pickett will continue overseeing KindlyMD’s clinical services across four Utah clinics. The deal also drew participation from more than 200 global investors, including firms such as Arrington Capital, ParaFi, Van Eck, and Yorkville Advisors, as well as individuals including Adam Back, Balaji Srinivasan, Jihan Wu, Eric Semler, Ricardo Salinas, and Simon Gerovich. The combined board will include six directors appointed by Nakamoto and one by KindlyMD. Additional transaction details are expected to be disclosed in a Form 8-K filing with the SEC, and the deal remains subject to shareholder approval and other customary closing conditions.
