Swedish Bitcoin treasury firm H100 Group AB has announced a definitive agreement to acquire two Norwegian companies, Moonshot AS and Never Say Die AS, in an all-stock transaction. The deal is expected to close by August 2026 without any cash consideration.

Under the terms, H100 will issue new shares in exchange for all outstanding shares of the target companies. Upon completion, current H100 shareholders will hold 30% of the combined entity, while the sellers from the two Norwegian firms will own the remaining 70%. This structure allows H100 to significantly expand its Bitcoin balance sheet without depleting cash reserves. The company's Bitcoin holdings will jump from 1,051 BTC to 3,500 BTC, representing a 233% increase.
