SK Hynix is rapidly advancing plans to issue American Depositary Receipts (ADRs) in the U.S. South Korean media reports that the company could list on the Nasdaq as early as late July to early August 2026, with underwriters already selected and a confidential SEC filing submitted in March. The fundraising ceiling has been revised upward from an earlier estimate of $14 billion to $20 billion (about 30 trillion won), equivalent to roughly 2.5% of SK Hynix's outstanding shares.

However, the company quickly pushed back. In a statement, SK Hynix emphasized that the 2.5% ratio and the $20 billion figure are "just external estimates from some media and securities firms, which the company cannot confirm." The final per-share price will only be determined after demand forecasting on the day before listing, and the timeline remains uncertain due to the SEC's ongoing question-and-answer review process.

Fundraising Aim: AI Memory Expansion Plan Hits 40 Trillion Won

The rare public clarification actually reveals the huge market speculation surrounding this ADR. But the real driver is SK Hynix's capital expenditure plan approaching 40 trillion won in 2026. The two figures are of different natures and must not be conflated.

The expansion list includes: Phase 2 of the first fab in the Yongin semiconductor cluster, set to break ground in August; the Cheongju P&T7 packaging facility, costing 19 trillion won; a $3.87 billion investment in an Indiana advanced packaging plant; and $10 billion for the initial phase of an AI Company based in the U.S., along with procurement of EUV and other advanced process equipment.

Industry observers note that choosing a dollar-denominated ADR amid the weakening Korean won effectively transfers FX risk to the U.S. market while locking in financial stability and investment momentum. This timing choice is more telling than the fundraising amount itself.

What Is an ADR? Letting U.S. Investors Directly Buy into a Korean Chip Giant

An ADR allows U.S. investors to trade shares of foreign companies directly on Nasdaq in dollars, without opening a Korean brokerage account. SK Hynix's ADR issuance aims to tap into U.S. capital markets and attract institutional funding, directing part of the proceeds toward its AI memory expansion — but the scale is separate from its overall 2026 capex.
