Zhibao Technology Raises Funds in Bitcoin Deal, Receives 2,380 BTC and Reshapes Board

Shanghai-listed Zhibao Technology has completed a PIPE financing in which 10 offshore investors paid with 2,380 bitcoin for shares and warrants valued at about $154.7 million. The company said the proceeds will support operations, AI-related development and a bitcoin-focused digital asset reserve strategy. The deal also hands investors the right to nominate four directors, while CEO Botao Ma will step down from the CEO role. Nine of the 10 investors also appeared in filings of U.S.-listed CIMG, which has itself used bitcoin in financing and added BTC to treasury reserves. CIMG’s latest filing shows the company’s bitcoin holdings rose to 1,145.4 BTC as of June 30, 2026, from 730 BTC three months earlier. Zhibao’s stock has also been volatile around the announcement, even as the company continues to report growth in its core digital insurance business.

Zhibao plans stock sale in PIPE deal for roughly $220 million in Bitcoin

Nasdaq-listed digital insurance products company Zhibao Technology said it has signed a non-binding term sheet with Joyertech and Information OPC for a proposed private investment in public equity, or PIPE, transaction. Under the plan, Zhibao would sell stock and receive about 3,500 BTC as consideration, valued at roughly $220 million at current prices. The proposed deal has not been finalized and remains subject to several conditions, including final valuation, custody arrangements, audit verification, regulatory review, Nasdaq compliance, and execution of definitive agreements. The term sheet also indicates that, at closing, the buyer is expected to designate a majority of Zhibao’s board members, while the existing management team would continue to handle day-to-day operations. Separately, Zhibao disclosed on July 15 that it had received a Nasdaq deficiency notice because its share price had fallen below the $1 minimum bid requirement. The company said it has 180 calendar days, until January 6, 2027, to regain compliance.
